TERMS OF SERVICE
OVERVIEW
Welcome to Tooldent. The terms "we", "us", and "our" refer to Tooldent. Tooldent operates this store and website, including all related information, content, features, tools, products, and services that we make available (collectively, the "Services"). Tooldent is powered by Shopify, which enables us to provide the Services.
These Terms of Service, together with the policies and product-specific terms referenced in them (collectively, the "Terms"), describe your rights and responsibilities when you access or use the Services or purchase products from Tooldent.
Tooldent primarily supplies new professional dental laboratory instruments, rotary tools, consumables, equipment, and related products to dental laboratories, dental practices, technicians, educational institutions, businesses, resellers, and other professional users. These Terms may also apply to an individual purchasing as a consumer where we permit such a purchase.
For purposes of these Terms:
- Business Customer means any individual or entity purchasing or using products primarily for business, trade, professional, institutional, educational, resale, or other commercial purposes.
- Consumer Customer means an individual purchasing primarily for personal, family, or household purposes.
By visiting, interacting with, or using the Services, you agree to be bound by these Terms and our Privacy Policy . If you use the Services on behalf of a business or other organization, you represent that you have authority to bind that organization, and the words "you" and "your" include that organization.
If you do not agree to these Terms or our Privacy Policy, you must not use the Services.
Nothing in these Terms excludes, restricts, or modifies any right, warranty, condition, remedy, or protection that cannot lawfully be excluded or limited under applicable United States or Canadian law.
SECTION 1 - ACCESS AND ACCOUNT
You represent that you are legally capable of entering into a binding agreement and, where applicable, are authorized to act for the business or organization on whose behalf you use the Services.
You agree to provide accurate, current, and complete account, billing, payment, shipping, business, professional, tax, and other information reasonably required to use the Services or complete a transaction.
You are responsible for maintaining the security of your account credentials and for activity conducted through your account. Please notify us promptly if you suspect unauthorized access or use.
We may suspend, restrict, or terminate an account where reasonably necessary to address suspected fraud, unauthorized use, security risks, non-payment, sanctions or export-control concerns, abusive conduct, or a violation of these Terms.
SECTION 2 - PRODUCTS AND PROFESSIONAL USE
Unless a product listing expressly states otherwise, products sold by Tooldent are offered as new products. Manufacturers may update packaging, labels, article numbers, color markings, specifications, or appearance without prior notice, provided that the product supplied is not materially different from the product ordered.
We make reasonable efforts to present product descriptions, photographs, dimensions, technical data, compatibility information, and other content accurately. Images may be resized, cropped, color-corrected, digitally enhanced, or shown at a scale different from the actual product. Screen settings, lighting, manufacturing tolerances, packaging revisions, and production batches may also affect appearance.
Manufacturer identifiers, technical specifications, product labeling, and the physical product supplied take precedence over visual impressions from website images.
Many products offered through the Services are intended for professional, technical, commercial, educational, or industrial use. You are responsible for:
- selecting a product suitable for your intended material, equipment, procedure, and application;
- ensuring that products are used by appropriately qualified, trained, or supervised personnel where required;
- following manufacturer instructions, safety information, operating-speed limits, maintenance, cleaning, sterilization, storage, protective-equipment, and disposal requirements;
- confirming compatibility with your handpiece, machine, process, material, and applicable regulatory requirements; and
- obtaining any license, registration, approval, training, or authorization required for purchase, possession, resale, export, import, or use.
Information provided through the Services assists with product identification and purchasing. It is not medical, dental, clinical, engineering, regulatory, or other professional advice and does not replace manufacturer instructions, technical documentation, safety information, or professional judgment.
We may discontinue products, modify assortments, limit quantities, or restrict sales where reasonably necessary because of availability, manufacturer policy, distribution rights, regulatory requirements, sanctions, export controls, fraud prevention, or applicable law.
SECTION 3 - ORDERS, RESALE, AND EXPORT
Placing an order constitutes an offer to purchase under these Terms. An automated acknowledgment, payment authorization, or receipt does not necessarily constitute final acceptance. An order is accepted when Tooldent expressly confirms acceptance, begins fulfillment, or ships the product, whichever occurs first.
We may reject, hold, modify with your agreement, or cancel an order, in whole or in part, for legitimate reasons including product availability, pricing or listing errors, payment problems, suspected fraud, inability to verify information, shipping restrictions, manufacturer restrictions, sanctions, export-control concerns, regulatory requirements, or unusual order quantities.
You may request cancellation or modification before fulfillment. If we are reasonably able to stop fulfillment, we will normally accommodate the cancellation without a cancellation fee. Once an order has entered fulfillment, been committed to a supplier, or shipped, cancellation or modification may no longer be possible.
Returns, exchanges, cancellations, and applicable refunds are governed by our Return and Refund Policy, our Shipping Policy, and any product-specific terms disclosed before purchase.
Products may be purchased for legitimate professional, commercial, institutional, resale, import, or export purposes. You are responsible for ensuring that your purchase, resale, distribution, export, import, advertising, and use of the products comply with applicable laws at your location and destination.
If you resell products purchased from Tooldent, you must:
- preserve required manufacturer labels, safety information, lot or serial information, and regulatory markings;
- not represent yourself as an authorized dealer, distributor, agent, affiliate, or representative of Tooldent or a manufacturer unless separately authorized in writing;
- not alter, repackage, relabel, or market products in a misleading or unlawful manner; and
- comply with traceability, recall, regulatory, customer-communication, and downstream obligations applicable to your activities.
We may request reasonable business, tax, professional, end-user, destination, or compliance documentation before accepting or shipping an order.
Terms printed or referenced in a customer purchase order, procurement portal, vendor form, e-mail, or other customer document do not modify these Terms unless Tooldent expressly accepts those terms in a signed written agreement. Accepting an order, payment, purchase order, or delivery instruction does not by itself constitute acceptance of additional or conflicting customer terms.
SECTION 4 - PRICES, TAXES, AND PAYMENT
Prices, discounts, promotions, and product availability may change before order acceptance. The price charged will be the price confirmed for the applicable market and currency when the order is accepted, subject to correction of an obvious pricing or listing error.
Unless expressly stated otherwise, product prices do not include applicable sales taxes, GST/HST, provincial or state taxes, shipping, handling, brokerage, customs duties, tariffs, import fees, or other government charges. Such amounts may be collected or prepaid by Tooldent at checkout or through the applicable shipping arrangement, invoiced separately, or charged by a carrier, customs broker, government authority, payment provider, or other third party.
Cross-border shipping charges and import-related costs are further addressed in our Shipping Policy.
Customers claiming tax-exempt or resale status are responsible for providing valid and current documentation acceptable to Tooldent and the applicable authority.
Prices may differ between the United States and Canada or between currencies and markets because of exchange rates, taxes, duties, payment processing, distribution costs, regional pricing, or other market conditions.
You represent that you are authorized to use the selected payment method and are responsible for amounts properly charged in connection with an accepted order.
SECTION 5 - SHIPPING, DELIVERY, AND CUSTOMS
Shipping rates, processing, dispatch, tracking, delivery, customer receiving responsibilities, missing or damaged shipments, address changes, partial shipments, freight-forwarder deliveries, and related matters are governed by our Shipping Policy.
Delivery dates and transit times are estimates unless expressly stated otherwise. We will make reasonable efforts to meet communicated shipping timeframes, but cannot guarantee delays or outcomes controlled by carriers, customs authorities, government agencies, weather, transportation networks, labor disruptions, inspections, or other circumstances outside our reasonable control.
If we cannot ship within an applicable timeframe, we will provide any delay, cancellation, consent, or refund options required by applicable law.
We may make partial shipments where commercially reasonable. Unless otherwise agreed, customers will not normally incur additional standard shipping charges solely because Tooldent elects to divide an order into multiple shipments.
For U.S. orders fulfilled from Canada, Tooldent will make reasonable efforts to calculate and include applicable import duties and related charges in advance where practical. Customs classification, valuation, country of origin, duty rates, inspections, assessments, and clearance decisions are controlled by U.S. customs authorities and other government agencies and may be recalculated or reassessed.
Unless Tooldent expressly agrees otherwise, additional duties, taxes, brokerage, processing charges, or other import costs that could not reasonably be calculated or prepaid may remain payable by the recipient. Further details are provided in our Shipping Policy.
Delivery, risk of loss, evidence of delivery, missing or damaged shipments, carrier claims, freight-forwarder deliveries, and customer-arranged shipping are governed by our Shipping Policy and applicable law.
Unless otherwise agreed in writing, title to products passes upon full payment and delivery, subject to applicable law.
SECTION 6 - RETURNS, REFUNDS, AND EXCHANGES
Returns, exchanges, defects, warranty returns, restocking charges, return shipping, refund calculations, and related procedures are governed by our Return and Refund Policy and any applicable product-specific terms.
Products must not be returned without any authorization required under that policy. The correct return location may differ from the address shown on the original shipment.
Nothing in our Return and Refund Policy or these Terms limits a return, refund, warranty, or other remedy that cannot lawfully be excluded.
SECTION 7 - INTELLECTUAL PROPERTY, CONTENT USE, AND INDEXING
The Services and their contents, including trademarks, brand elements, text, product descriptions, photographs, graphics, tables, taxonomy, catalog organization, downloadable materials, reviews, video, audio, page design, and selection and arrangement of content, are owned by Tooldent, its affiliates, manufacturers, suppliers, or other licensors and are protected by applicable intellectual-property laws.
Tooldent grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for legitimate browsing, product evaluation, purchasing, account administration, professional use, and internal business procurement. You may download or print invoices, order records, and technical documents made available for that purpose for your own lawful use.
Except as permitted by these Terms, applicable law, or prior written permission, you must not reproduce, copy, distribute, modify, translate, create derivative works from, publicly display, republish, license, sell, mirror, frame, or commercially exploit material from the Services.
Tooldent names, logos, designs, product and service names, and slogans are trademarks or trade identifiers of Tooldent or its licensors. Manufacturer names, product names, logos, and other marks belong to their respective rights holders.
Authorized indexing. General-purpose search engines and bona fide indexing services may crawl publicly accessible portions of the Services where they:
- accurately identify their crawler or agent;
- comply with robots.txt instructions, rate limits, access controls, and other technical directives;
- do not bypass authentication, CAPTCHAs, security measures, or crawler restrictions; and
- use content primarily for legitimate search, indexing, accessibility, security, or similar public-facing functionality.
Except with prior written permission from Tooldent or the applicable rights holder, automated or systematic scraping, crawling, harvesting, bulk downloading, data mining, extraction, reproduction, republication, or collection of content is prohibited when conducted for:
- competitive intelligence, competitor price or inventory monitoring, or creation of a competing catalog;
- commercial databases, product feeds, datasets, directories, or resale of extracted information;
- copying product photographs, descriptions, taxonomy, specifications, or catalog structure;
- training, fine-tuning, developing, evaluating, benchmarking, grounding, or operating artificial-intelligence or machine-learning systems; or
- activity that unreasonably burdens the Services, bypasses our controls, or infringes intellectual-property or contractual rights.
The same restrictions apply to systematic manual extraction intended to achieve substantially the same result. Normal browsing, sharing product links, lawful limited quotation, and legitimate use of purchased-product documentation are not prohibited.
Tooldent may grant, limit, condition, or withdraw crawler, API, feed, syndication, or content-use permission. Nothing in these Terms restricts fair dealing, fair use, or another right that cannot lawfully be waived.
SECTION 8 - THIRD-PARTY TOOLS, LINKS, AND SERVICES
The Services may provide access to or links to tools, websites, payment providers, carriers, manufacturers, social networks, technical resources, or other services operated by third parties.
Unless expressly stated otherwise, Tooldent does not control or endorse those third-party services and does not guarantee their content, security, availability, accuracy, or performance.
Your use of a third-party service may be governed by separate terms and privacy practices. Tooldent is not responsible for loss caused solely by a third party's independent products, services, content, or conduct, except where Tooldent is required by law, warranty, or an applicable Tooldent policy to assist or provide a remedy.
SECTION 9 - RELATIONSHIP WITH SHOPIFY
Tooldent is powered by Shopify, which enables us to provide the Services. Sales made through the store are transactions between you and Tooldent; Shopify is not the seller of Tooldent products.
To the fullest extent permitted by law, Shopify and its affiliates are not responsible for Tooldent's performance of the sales contract or for claims arising solely from a purchase transaction between you and Tooldent.
SECTION 10 - PRIVACY
Personal information collected or processed through the Services is governed by our Privacy Policy.
Because the Services are hosted by Shopify, Shopify also collects and processes information relating to access to and use of the Services. Certain information may be processed by Shopify and other service providers in the United States, Canada, or other countries.

SECTION 11 - FEEDBACK AND REVIEWS
If you submit reviews, photographs, suggestions, ideas, feedback, or other content ("Feedback"), you grant Tooldent a perpetual, worldwide, non-exclusive, sublicensable, transferable, royalty-free license to use, reproduce, adapt, modify, publish, translate, distribute, display, and otherwise use that Feedback in connection with operating, improving, supporting, and promoting the Services.
You represent that you own or have the necessary rights to the Feedback, that it does not unlawfully infringe another person's rights, and that it is not fraudulent, unlawful, defamatory, malicious, or misleading.
Unless separately agreed in writing, Feedback is not confidential, we are not required to compensate you, and we may moderate, edit, refuse, or remove Feedback that violates these Terms, applicable law, or our review standards.
SECTION 12 - ERRORS, AVAILABILITY, AND CORRECTIONS
The Services may occasionally contain errors, outdated information, or omissions relating to product descriptions, identifiers, specifications, pricing, promotions, shipping charges, delivery estimates, images, inventory, or compatibility.
We may correct such information and, where a material error affects an accepted but unshipped order, contact you to confirm the corrected terms or cancel the affected item and issue an appropriate refund.
Inventory displayed online may not always reflect real-time availability. We will not substitute a materially different product without your consent. Non-material manufacturer packaging, labeling, or article-number changes that do not alter the product itself are not considered substitutions.
SECTION 13 - PROHIBITED USES
You must not use the Services, directly or indirectly, to:
- engage in unlawful, fraudulent, deceptive, malicious, or abusive conduct;
- infringe intellectual-property, privacy, confidentiality, or other rights;
- harass, threaten, defame, impersonate, or intentionally mislead another person;
- upload malware, harmful code, or material that interferes with the Services;
- send spam, phishing communications, or unauthorized advertising;
- collect personal information without lawful authority;
- bypass authentication, rate limits, robots.txt rules, CAPTCHAs, geographic restrictions, or security controls;
- manipulate inventory, create fraudulent accounts or orders, abuse promotions, or conduct unauthorized testing;
- scrape, extract, copy, or reuse content contrary to Section 7; or
- assist another person in doing any of the foregoing.
Nothing in this section prohibits normal browsing, lawful purchasing, legitimate internal procurement, or authorized indexing conducted in accordance with Section 7.
SECTION 14 - AUTOMATED SYSTEMS AND AGENTS
An automated or semi-automated system ("Agent") may access publicly available portions of the Services only where permitted by Section 7 and where it:
- accurately identifies itself and, where appropriate, its operator;
- does not conceal automation or impersonate a human to evade controls;
- complies with robots.txt, access controls, rate limits, and requests to stop;
- does not bypass CAPTCHAs, authentication, or security measures;
- does not engage in prohibited scraping, bulk extraction, catalog replication, competitive monitoring, or AI training; and
- does not access an account, disclose information, accept terms, place an order, or incur a charge without valid authorization.
You are responsible for an Agent that you deploy or authorize and for actions it takes on your behalf.
We may limit or block an Agent, crawler, service, or operator where reasonably necessary to protect the Services, users, content, inventory, security, or legal rights.
SECTION 15 - SUSPENSION AND TERMINATION
We may suspend or terminate access to the Services or an account where reasonably necessary because of a breach of these Terms, fraud, security risk, unlawful conduct, non-payment, abuse, sanctions or export concerns, or conduct that may harm Tooldent, Shopify, another user, or the Services.
Termination does not affect obligations incurred before termination, including payment obligations relating to accepted or shipped orders.
Provisions concerning intellectual property, Feedback, warranties, liability, indemnification, payment, governing law, and other provisions that by their nature should survive will remain effective after termination.
SECTION 16 - PRODUCT WARRANTIES AND DISCLAIMER OF WARRANTIES
A product may be covered by an express manufacturer warranty, product-specific Tooldent warranty, or statutory rights applicable in your jurisdiction. Manufacturer warranties are subject to the manufacturer's terms, exclusions, procedures, and documentation requirements. Tooldent does not independently enlarge a manufacturer warranty unless expressly stated.
You are responsible for retaining invoices, packaging, labels, serial or lot information, and other documentation reasonably required for a warranty claim.
Warranty coverage may be affected by misuse, modification, improper installation, operation outside stated limits, incompatible equipment or materials, improper maintenance or storage, contamination, accident, normal wear, or unauthorized repair.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, TOOLDENT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR AVAILABLE AT ALL TIMES.
FOR BUSINESS CUSTOMERS, EXCEPT FOR AN EXPRESS WARRANTY PROVIDED BY TOOLDENT OR THE MANUFACTURER AND TO THE FULLEST EXTENT PERMITTED BY LAW, TOOLDENT DISCLAIMS IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.
Tooldent does not warrant that a product is suitable for a particular procedure, material, equipment, regulatory status, or commercial objective unless that suitability is expressly confirmed by Tooldent in writing.
Nothing in this section excludes an express warranty, applicable manufacturer warranty, or right or remedy that cannot lawfully be excluded or limited.
SECTION 17 - LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, TOOLDENT, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOSS OF DATA, BUSINESS INTERRUPTION, REPLACEMENT COSTS, OR LOSS OF GOODWILL ARISING OUT OF OR RELATING TO THE SERVICES, THESE TERMS, OR A PRODUCT.
FOR A BUSINESS CUSTOMER, TO THE FULLEST EXTENT PERMITTED BY LAW, TOOLDENT'S TOTAL AGGREGATE LIABILITY ARISING FROM A PRODUCT, ORDER, OR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO TOOLDENT FOR THE PRODUCT OR PRODUCTS THAT DIRECTLY GAVE RISE TO THE CLAIM.
Tooldent is not responsible for loss caused by:
- selection of an unsuitable product;
- use contrary to manufacturer instructions, safety information, operating limits, or intended purpose;
- use by an unqualified or improperly trained person;
- modification, repackaging, relabeling, contamination, improper storage, unauthorized repair, or normal wear;
- incompatible equipment, materials, or procedures;
- failure to comply with professional, regulatory, import, export, resale, or traceability obligations; or
- conduct or decisions of a carrier, customs authority, payment provider, platform, manufacturer, or other third party to the extent the resulting loss is outside Tooldent's reasonable control, subject to our applicable policies and applicable law.
Nothing in these Terms limits liability for fraud, willful misconduct, or any liability, warranty, condition, right, or remedy that applicable law does not permit us to exclude or limit.
SECTION 18 - INDEMNIFICATION
To the extent permitted by law, you agree to indemnify and hold harmless Tooldent, Shopify, and their respective affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, losses, damages, liabilities, penalties, and reasonable legal fees arising from:
- your material breach of these Terms;
- your unlawful or unauthorized use, resale, export, import, relabeling, modification, or distribution of a product;
- your violation of applicable law or another person's rights; or
- your misuse of the Services or their content.
For Consumer Customers, this section applies only to the extent enforceable under applicable law. For Business Customers, it includes applicable claims arising from downstream resale, altered labeling, regulatory noncompliance, or representations not authorized by Tooldent or the manufacturer.
We will provide reasonable notice of an indemnifiable claim. We may control the defense and settlement of the claim at your expense, but will not agree to a settlement imposing a non-monetary obligation on you without your consent, which must not be unreasonably withheld.
SECTION 19 - GENERAL LEGAL TERMS
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, it will be enforced to the maximum extent permitted and the unenforceable portion will be severed. The remaining provisions will remain in effect.
Our failure to exercise or enforce a right does not constitute a waiver of that right.
These Terms, our Privacy Policy, Return and Refund Policy, Shipping Policy, product-specific terms disclosed before purchase, and any applicable written agreement expressly accepted by Tooldent constitute the agreement between you and Tooldent concerning the Services and applicable transaction.
If documents conflict, the following order of precedence applies unless expressly agreed otherwise in writing:
- a separately signed agreement between you and Tooldent;
- a Tooldent written quotation or product-specific term expressly incorporated into the accepted order;
- these Terms of Service;
- the applicable Return and Refund, Shipping, or Privacy Policy; and
- other website content.
Customer purchase-order terms, procurement terms, click-through supplier terms, or other customer documents do not apply unless expressly accepted by Tooldent in a signed written agreement.
Electronic records, communications, approvals, and acceptances may be used to form and evidence agreements to the extent permitted by law.
You may not assign or transfer these Terms or your material obligations under them without our prior written consent. Tooldent may assign these Terms and related rights or obligations to an affiliate, successor, purchaser of our business or assets, or service provider involved in operating the Services, subject to applicable law.
SECTION 20 - GOVERNING LAW AND JURISDICTION
These Terms and disputes arising out of or relating to the Services or a transaction with Tooldent are governed by the laws of Canada and the laws applicable in the Canadian province or territory in which Tooldent maintains its principal place of business, without regard to conflict-of-law rules.
Subject to any mandatory right that cannot lawfully be waived, the parties submit to the jurisdiction of the courts located in that Canadian province or territory.
Nothing in this section deprives a Consumer Customer in the United States or Canada of a non-waivable right, remedy, or protection under applicable federal, state, provincial, or territorial law.
Business Customers remain responsible for compliance with laws applicable at their location, shipment destination, and any place where products are resold or used.
SECTION 21 - CHANGES TO THESE TERMS
The current version of these Terms is available on this page.
We may update these Terms from time to time by posting a revised version. Where required by law, we will provide notice of a material change and state when it becomes effective.
Unless required by law or agreed with you, an update will not retroactively change the terms governing an order accepted before the effective date of the update.
Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
